These Terms and Conditions will be governed by and construed in accordance with the laws of, and you submit to the non-exclusive jurisdiction of the courts located in Tokyo for the resolution of any disputes.

Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms and Conditions, the parties shall first attempt to resolve the dispute through good faith negotiations.

If the dispute cannot be resolved through negotiation within thirty days, either party may refer the dispute to mediation before pursuing any legal remedies.

Arbitration

Any disputes not resolved through negotiation or mediation may be submitted to binding arbitration in accordance with the arbitration rules of the Commercial Arbitration Association. The arbitration shall take place in Tokyo, and the language of the arbitration shall be English.

Severability

If any provision of these Terms and Conditions is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms and Conditions. Such determination shall not affect the validity and enforceability of any other remaining provisions.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices published by us on the services, constitute the entire agreement between you and SwiftCore concerning your use of the services. They supersede all prior agreements and understandings with respect to the same.

Waiver

No waiver by SwiftCore of any term or condition set out in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of SwiftCore to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.
